1. Acceptance of Terms

By accessing or using the Liana Banyan platform (lianabanyan.com, cephas.lianabanyan.com, and related services), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Description of Service

Liana Banyan is a member-owned cooperative platform that provides:

  • Marketplace services connecting creators with consumers
  • Cost-plus pricing where creators keep 83.3% of transaction value
  • Community tools including Cue Cards, Beacon systems, and collaborative features
  • Educational resources through the Cephas knowledge base

3. Membership

3.1 Membership Fee

Annual membership costs $5.00 USD. This fee grants access to all platform features and voting rights in cooperative governance.

3.2 Ghost Mode

Non-members may explore the platform in “Ghost Mode” with limited functionality. Ghost activity may be converted to member benefits upon joining.

3.3 Member Rights

Members have the right to:

  • Participate in platform governance through voting
  • Access all platform features and tools
  • Receive their fair share of platform value (83.3% of transactions)
  • Request data export or account deletion

4. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, fraudulent, or deceptive content
  • Attempt to gain unauthorized access to platform systems
  • Use automated systems to scrape or collect data without permission
  • Harass, abuse, or harm other users

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of content you create and share on the platform. By posting content, you grant Liana Banyan a non-exclusive license to display and distribute that content within the platform.

5.2 Platform Content

The Liana Banyan platform, including its design, features, and documentation, is protected by intellectual property laws. Our innovations are documented in provisional patent applications filed with the USPTO.

5.3 Cue Cards and Sharing

When you create and share Cue Cards, you authorize distribution through connected social media platforms. You remain responsible for the content of your shares.

6. Transactions and Payments

6.1 Cost-Plus Model

Liana Banyan operates on a cost-plus-20% model. Creators receive 83.3% of transaction value; the platform retains the remainder to cover operational costs.

6.2 Payment Processing

Payments are processed through third-party providers (Stripe). You agree to their terms of service when conducting transactions.

6.3 Refunds

Refund policies are determined by individual creators. The platform facilitates but does not guarantee refunds.

7. Third-Party Integrations

7.1 Social Media Connections

You may connect third-party accounts (TikTok, Facebook, Twitter, etc.) to enhance platform features. These connections are governed by the respective platforms’ terms of service.

7.2 Data Sharing

When you connect third-party accounts, limited data may be shared as necessary for functionality. See our Privacy Policy for details.

8. Disclaimers

8.1 Service Availability

We strive for continuous availability but do not guarantee uninterrupted service. The platform is provided “as is” without warranties of any kind.

8.2 User Interactions

Liana Banyan is not responsible for disputes between users. We provide tools for resolution but do not arbitrate conflicts.

9. Limitation of Liability

To the maximum extent permitted by law, Liana Banyan Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

10. Indemnification

You agree to indemnify and hold harmless Liana Banyan Corporation, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform or violation of these terms.

11. Modifications

We may modify these Terms of Service at any time. Material changes will be communicated to members via email or platform notification. Continued use after changes constitutes acceptance.

12. Termination

We reserve the right to terminate or suspend accounts that violate these terms. You may terminate your membership at any time by contacting support.

13. Governing Law

These terms are governed by the laws of the State of Wyoming, United States. Any disputes shall be resolved in the courts of Wyoming.
